Introduction

These Affiliate Program Terms & Conditions ("Terms") govern participation in the affiliate marketing program ("Program") operated by UIRB Insurance Services, L.P., doing business under the UIRB Services brand ("UIRB," "Company," "we," "us," or "our").

The Program allows approved independent affiliates ("Affiliates," "you," or "your") to promote eligible educational certificate programs offered through UIRB Academy and receive commissions on qualifying purchases.

By accepting these Terms and receiving approval from UIRB, you enter into a binding agreement with UIRB Insurance Services, L.P. governing your participation in the Program.

1. Definitions and Interpretation

For purposes of these Terms:

Affiliate: An individual or organization approved by UIRB to promote eligible educational products in exchange for referral commissions.

Affiliate Account: The account associated with an approved Affiliate within UIRB's learning and affiliate management platform.

Affiliate Link: A unique tracking link generated by LearnWorlds that identifies the Affiliate responsible for a qualifying referral.

Business Day: Any day other than Saturday, Sunday, or an official banking holiday in California.

Commission: The amount payable to an Affiliate for a Qualifying Sale.

Commission Rate: The standard commission percentage established under Section 11 of these Terms.

Commission Maturity Period: The period before an approved commission becomes eligible for payment.

Confidential Information: Non-public business, financial, technical, operational, customer, marketing, contractual, or other proprietary information disclosed in connection with the Program.

Eligible Product: A paid educational product expressly included in the Program through the UIRB affiliate management system.

Qualifying Sale: A completed and paid transaction that meets the platform's referral attribution rules and the eligibility requirements of these Terms.

Registered Email Address: The email address provided and maintained by an Affiliate in their account.

Referral Tracking Period: The period during which an eligible customer purchase may be attributed to an Affiliate after the customer clicks an authorized Affiliate Link.

2. Enrollment in the Program

2.1 Participation in the Program is subject to prior approval by UIRB.

2.2 Applicants must be at least 18 years old and legally capable of entering into a binding agreement.

2.3 Applicants must provide accurate and complete registration information, including their legal name, contact information, and other information reasonably required for identification, compliance, and commission payments.

2.4 Applicants must maintain a registered user account on www.uirbservices.com before being appointed as Affiliates.

2.5 UIRB may review an applicant's professional background, promotional channels, business activities, and potential conflicts of interest.

2.6 UIRB reserves the right to approve or reject applications for legitimate business, professional, legal, compliance, or reputational reasons.

2.7 Acceptance of these Terms does not, by itself, establish an active affiliate relationship. Participation begins when UIRB confirms the appointment.

2.8 UIRB may assign an internal identification number to each Affiliate for administrative purposes. This number is separate from the tracking identifier generated by LearnWorlds.

2.9 Affiliates must promptly update any material changes to their account, payment, or contact information.

3. Company and Affiliate Relationship

3.1 Affiliates participate as independent referral partners.

3.2 Nothing in these Terms creates an employment relationship, partnership, joint venture, franchise, or general agency relationship.

3.3 Affiliates have no authority to enter into agreements, assume liabilities, provide warranties, or make binding commitments on behalf of UIRB.

3.4 Affiliates must not represent themselves as employees, officers, insurance brokers, instructors, or authorized representatives of UIRB solely because they participate in the Program.

3.5 Participation is non-exclusive. Either party may maintain comparable business or professional relationships with others.

4. Affiliate Links and Promotional Materials

4.1 Approved Affiliates will have access to the affiliate management functionality available under UIRB's LearnWorlds platform.

4.2 Each Affiliate may generate unique tracking links directing prospective learners to eligible products or permitted pages on www.uirbservices.com.

4.3 Affiliates must not alter tracking parameters, manipulate referral identifiers, or engage in activities intended to interfere with accurate attribution.

4.4 Promotional materials supplied by UIRB may be used only for legitimate Program activities.

4.5 UIRB may request modification or removal of promotional materials that are inaccurate, misleading, outdated, unauthorized, or inconsistent with these Terms.

4.6 Affiliates are responsible for maintaining the accuracy and functionality of links they distribute.

4.7 UIRB may deactivate or replace affiliate links where reasonably necessary for operational, legal, security, or compliance reasons.

5. Marketing Channels and Content

5.1 Affiliates may promote eligible educational products through lawful and professionally appropriate channels, including professional websites, LinkedIn, other social media platforms, newsletters, educational events, professional associations, and direct communications where permitted by applicable law.

5.2 Affiliates are responsible for the content published through their own promotional channels.

5.3 Promotional activities must not involve unlawful, deceptive, discriminatory, defamatory, harassing, sexually exploitative, or otherwise materially inappropriate content.

5.4 Affiliates must not publish misleading claims regarding UIRB, its educational products, pricing, professional recognition, or expected learning outcomes.

5.5 UIRB may request correction or removal of promotional content that materially violates these requirements.

5.6 Affiliates must comply with applicable advertising, privacy, electronic communications, intellectual property, and consumer protection laws.

6. Display of Company Information and Affiliate Responsibilities

6.1 Affiliates may publish accurate descriptions and current prices of eligible educational products as displayed on the official UIRB website.

6.2 UIRB reserves the right to modify course content, availability, descriptions, and pricing.

6.3 Affiliates are responsible for keeping their promotional information reasonably current.

6.4 Affiliates must not create multiple accounts to manipulate sales attribution or commissions.

6.5 Affiliates must act in good faith and refer genuine prospective customers.

6.6 Self-referrals, fraudulent purchases, artificial accounts, or transactions intended primarily to generate improper commissions are prohibited.

6.7 Affiliates may not offer unauthorized discounts, incentives, cashback arrangements, coupon codes, or other financial benefits.

6.8 Affiliates must not employ spam, fraudulent search optimization, cookie stuffing, misleading redirects, hidden tracking, or deceptive advertising techniques.

6.9 Affiliates may not register websites, domain names, or social media accounts that impersonate UIRB or create confusion regarding the Affiliate's relationship with UIRB.

6.10 Paid search advertising using UIRB's name, trademarks, or confusingly similar variations requires prior written authorization.

6.11 UIRB may investigate suspected violations and take appropriate corrective action, including warnings, suspension, or termination.

7. Eligible Educational Products

7.1 The Program initially includes the following five educational certificate programs offered through UIRB Academy:

  • CRFS — Reinsurance Foundational Skills

  • CREI — Renewable Energy Insurance

  • CRSS — Reinsurance Structuring Skills

  • CCIRS — Casualty Insurance & Reinsurance Skills

  • CAPIRM — AI Practice for Insurance & Risk Management

7.2 Only paid products expressly activated within the UIRB affiliate management system qualify for commissions.

7.3 UIRB may introduce additional educational products or discontinue existing offerings.

7.4 Books, consulting engagements, insurance or reinsurance brokerage activities, risk advisory assignments, and other professional services are excluded from this Affiliate Program unless separately agreed in writing.

7.5 Any compensation for referrals involving regulated insurance activities or professional advisory engagements requires separate written authorization and applicable legal and regulatory review.

7.6 UIRB Academy provides educational certificate programs. Affiliates must not describe these programs as independently accredited professional certifications or claim government, university, or regulatory recognition unless such recognition has been formally obtained and verified.

8. Customer Referral Requirements

8.1 A qualifying referral begins when a prospective customer clicks an authorized Affiliate Link.

8.2 The standard Referral Tracking Period is 60 calendar days, subject to the corresponding period being configured in LearnWorlds.

8.3 To qualify for ordinary platform-based tracking, the referred customer must register as a new user through a supported registration process using the same browser through which the Affiliate Link was accessed.

8.4 A qualifying purchase must occur within the applicable tracking period.

8.5 Purchases made by individuals who were already registered on the UIRB learning platform before the referral generally do not qualify for affiliate commissions.

8.6 When a prospective customer clicks links from multiple Affiliates, the platform's last-click attribution rules apply.

8.7 Where a transaction cannot be reliably attributed through the supported tracking system, no commission is automatically payable.

8.8 UIRB will consider reasonable referral attribution inquiries in good faith but does not guarantee attribution for untracked transactions.

8.9 Affiliates must not interfere with the platform's registration, tracking, or transaction processes.

9. Orders and Customer Relationships

9.1 UIRB is responsible for processing customer purchases, providing educational access, administering payments, handling cancellations and refunds, and providing customer support.

9.2 UIRB reserves the right to reject, cancel, or refund transactions in accordance with its applicable policies and legal obligations.

9.3 Affiliates are not parties to the educational purchase agreement between UIRB and the customer.

9.4 Affiliates must not accept course payments directly on behalf of UIRB without specific written authorization.

9.5 Customer enrollments are governed by UIRB's published Terms and Conditions, available at:

https://www.uirbservices.com/terms

10. Affiliate Sales Reporting

10.1 The LearnWorlds affiliate management system provides available information concerning referred transactions, eligible products, sales amounts, and corresponding commissions.

10.2 Affiliates may access the reporting information available to them through their Affiliate Dashboard.

10.3 UIRB may maintain supplementary internal records for commission reconciliation, affiliate identification, and payment administration.

10.4 UIRB may correct reporting errors where supported by reliable transaction records.

10.5 The parties acknowledge that reporting functionality may vary according to the capabilities of UIRB's LearnWorlds subscription and technical configuration.

11. Commission and Referral Fees

11.1 The standard Affiliate Commission Rate is 30%.

11.2 The Commission Rate applies to all approved Affiliates and all Eligible Products under UIRB's current standard affiliate program.

11.3 Commissions are calculated on the eligible commissionable transaction amount recorded by LearnWorlds, reflecting applicable discounts, taxes, refunds, and other recognized transaction adjustments.

11.4 Commissions are earned only on Qualifying Sales for which UIRB has received the required customer payment.

11.5 No commission is payable for free enrollments, canceled transactions, refunded sales, fraudulent transactions, or excluded products.

11.6 A single referral may generate commissions on multiple eligible purchases where each purchase qualifies under the platform's tracking and attribution rules.

11.7 The standard Referral Tracking Period is 60 calendar days.

11.8 The standard Commission Maturity Period is 30 calendar days, as configured in the affiliate management system.

11.9 A commission must satisfy the applicable maturity and eligibility requirements before payment becomes due.

11.10 Refunds or cancellations occurring before commission maturity may invalidate the corresponding commission.

11.11 Commissions will be paid monthly on the 20th day of each calendar month, or the next Business Day where applicable, for approved commissions that became payable before the beginning of that month.

11.12 Payments will be made in U.S. dollars through PayPal or bank transfer, using payment details supplied and verified by the Affiliate.

11.13 No minimum payout threshold applies under the standard Program.

11.14 LearnWorlds calculates and records eligible commissions but does not automatically transfer commission payments. UIRB is responsible for arranging payments separately.

11.15 Affiliates must provide accurate payment instructions and any documentation reasonably required for tax reporting or legal compliance.

11.16 UIRB may withhold a disputed commission temporarily while reasonably investigating a suspected error, refund, chargeback, or fraudulent transaction.

11.17 If a commission has already been paid and the underlying transaction is subsequently reversed or refunded, UIRB may recover the corresponding overpayment or offset it against future commissions, subject to applicable law.

11.18 UIRB reserves the right to change the standard Commission Rate prospectively by providing at least 10 Business Days' written notice.

11.19 Valid commissions already earned under the previous Commission Rate will not be retroactively reduced solely because of a subsequent rate change.

11.20 Affiliates are responsible for taxes arising from their commission income, except for amounts UIRB is legally required to withhold or remit.

12. Trademarks and Brand Usage

12.1 UIRB retains ownership of its names, trademarks, logos, visual identity, and brand materials.

12.2 Approved Affiliates receive a limited, non-exclusive, non-transferable, revocable permission to use authorized UIRB promotional materials solely for approved Program activities.

12.3 Affiliates may not modify official logos, course descriptions, certificate representations, or educational claims without prior authorization.

12.4 Affiliates must not imply that UIRB endorses their independent products, services, or professional activities.

12.5 All rights granted under this section terminate upon termination of the Affiliate relationship.

13. Intellectual Property

13.1 UIRB and its applicable licensors retain all rights in educational content, course materials, books, training resources, videos, assessments, certificates, website materials, and associated intellectual property.

13.2 Participation in the Program does not transfer ownership or licensing rights beyond those expressly authorized for affiliate promotion.

13.3 Affiliates may not reproduce, distribute, resell, sublicense, or commercially exploit UIRB educational materials without written permission.

13.4 Affiliates must respect the intellectual property rights of UIRB and third parties.

14. Affiliate Warranties, Compliance, and Indemnity

14.1 Affiliates represent that they have the legal capacity and authority to participate in the Program.

14.2 Affiliates agree to conduct all promotional activities honestly, lawfully, and professionally.

14.3 Affiliates must obtain any employment, organizational, or professional approvals required to receive referral compensation.

14.4 Affiliates must disclose actual or potential conflicts of interest, including circumstances involving procurement decisions, employer-funded course enrollment, regulated financial activities, or professional duties.

14.5 Affiliates must clearly and conspicuously disclose their financial relationship with UIRB when recommending eligible educational products.

A suitable disclosure is:

"I may receive a commission if you purchase a UIRB Academy course through my referral link."

14.6 Such disclosures must comply with applicable Federal Trade Commission requirements and other relevant laws.

14.7 Affiliates must not make unauthorized claims regarding educational accreditation, professional licensing, guaranteed employment, income, or career advancement.

14.8 To the extent permitted by applicable law, Affiliates agree to indemnify UIRB against third-party claims, losses, and reasonable expenses directly arising from the Affiliate's fraud, willful misconduct, infringement of intellectual property rights, or material violation of these Terms.

14.9 UIRB reserves the right to refuse or terminate arrangements that create material legal, regulatory, professional, or reputational conflicts.

15. Disclaimers

15.1 UIRB does not guarantee any minimum number of referrals, enrollments, sales, commissions, or financial returns.

15.2 UIRB does not guarantee uninterrupted access to its website, educational platform, or affiliate reporting functions.

15.3 UIRB will use commercially reasonable efforts to operate the Program and maintain accurate affiliate records.

15.4 Affiliates acknowledge that their results depend on factors outside UIRB's control, including customer interest, purchasing decisions, market conditions, and technical tracking limitations.

15.5 Nothing in these Terms guarantees continued availability of any particular educational product.

16. Limitation of Liability

16.1 To the extent permitted by applicable law, neither party will be liable to the other for indirect, incidental, special, punitive, or consequential damages arising from participation in the Program.

16.2 Except for liabilities that cannot legally be limited, UIRB's aggregate contractual liability to an Affiliate arising from the Program will not exceed the total commissions paid or properly payable to that Affiliate during the preceding 12 months.

16.3 Nothing in these Terms limits UIRB's obligation to pay valid, matured, undisputed commissions due under the Agreement.

16.4 Nothing in these Terms excludes or limits liability for fraud, intentional misconduct, or other liability that cannot lawfully be excluded or restricted.

17. Term and Termination

17.1 The Agreement begins when the Affiliate accepts these Terms and UIRB confirms the Affiliate's appointment.

17.2 The Agreement remains effective until terminated in accordance with this section.

17.3 Either party may terminate participation by giving 10 Business Days' written notice.

17.4 UIRB may immediately suspend an Affiliate Account where reasonably necessary to investigate suspected fraud, unlawful conduct, material misrepresentation, or serious compliance concerns.

17.5 UIRB may terminate the Agreement immediately for proven fraud, serious misconduct, or an incurable material breach.

17.6 For other material breaches capable of remedy, the affected party may provide written notice allowing 10 Business Days to correct the breach before termination.

17.7 Upon termination, the Affiliate must discontinue promotional activities under the Program and cease unauthorized use of UIRB trademarks, materials, and tracking links.

17.8 Termination does not extinguish valid commissions earned on Qualifying Sales before the effective termination date, subject to maturity, refunds, chargebacks, and lawful adjustments.

17.9 No new commissions will accrue on transactions occurring after termination unless UIRB expressly agrees otherwise in writing.

17.10 Provisions intended to survive termination, including accrued payment obligations, confidentiality, intellectual property protections, and dispute resolution, will remain effective as applicable.

18. Confidentiality and Data Protection

18.1 Each party agrees to protect Confidential Information received from the other and use it only for legitimate purposes connected with the Program.

18.2 Confidentiality obligations do not apply to information that is publicly available without breach, already lawfully known, independently developed, or lawfully received from another source without an obligation of confidentiality.

18.3 Confidential Information may be disclosed where required by applicable law or lawful government order.

18.4 Affiliates must not improperly collect, disclose, sell, or otherwise misuse customer personal information.

18.5 UIRB's handling of website and customer information is subject to its published privacy policies and applicable law.

18.6 Confidentiality obligations survive termination for as long as the relevant information remains confidential, subject to applicable law.

19. Force Majeure

19.1 Neither party will be liable for failure or delay in performing non-payment obligations where such failure results from circumstances beyond its reasonable control.

19.2 These circumstances may include natural disasters, widespread internet or infrastructure outages, governmental restrictions, armed conflict, civil emergencies, or comparable events.

19.3 The affected party must take reasonable steps to mitigate the disruption and resume performance as soon as practicable.

19.4 This section does not extinguish valid payment obligations that accrued before the relevant event.

20. Severability

20.1 If any provision of these Terms is found unlawful, invalid, or unenforceable, the remaining provisions will remain effective to the extent permitted by law.

20.2 The invalid provision will be interpreted or limited, where legally permissible, in a manner consistent with the original commercial purpose.

21. Notices and Communications

21.3 Notices to Affiliates may be sent to their Registered Email Address.

21.4 Each party is responsible for maintaining accurate contact information.

21.5 Material amendments to commission rates or other substantive commercial conditions will ordinarily be communicated at least 10 Business Days before taking effect, except where immediate changes are reasonably necessary for legal compliance, security, or fraud prevention.

22. Entire Agreement and Amendments

22.1 These Terms, together with applicable Program settings and policies expressly incorporated by reference, constitute the entire agreement governing participation in the Program.

22.2 These Terms supersede prior representations or communications concerning the same Affiliate relationship, except for separately executed written agreements expressly intended to remain effective.

22.3 UIRB may modify these Terms prospectively by providing appropriate notice.

22.4 Continued participation after the effective date of a properly notified amendment constitutes acceptance of the updated Terms, to the extent permitted by applicable law.

22.5 Affiliates who do not accept a material amendment may terminate participation before the amendment takes effect.

23. General Provisions

23.1 No Waiver: Failure to enforce a provision does not constitute a continuing waiver of the right to enforce that provision.

23.2 Non-Exclusivity: The Affiliate relationship is non-exclusive.

23.3 Non-Assignment: Affiliates may not assign their rights or obligations without UIRB's prior written consent.

23.4 Independent Operations: Each party is responsible for its own business activities, operating expenses, legal obligations, and applicable taxes.

23.6 Electronic Acceptance: Acceptance through an approved electronic process or written communication may constitute binding acceptance of these Terms, subject to applicable law.

23.7 Refund Policy: Customer cancellation and refund requests are governed by UIRB's published Terms and Conditions at https://www.uirbservices.com/terms. UIRB's educational purchase policy provides a seven-calendar-day refund request window, subject to the applicable restrictions on substantial course access, assessment completion, certificate issuance, and downloaded materials. The 30-day commission maturity period is separate from the customer refund request window.

23.8 Program Changes: UIRB may modify or discontinue the Program prospectively, subject to its obligations regarding valid commissions earned before the effective change.
