Terms and Conditions

Effective date October 29, 2026

These Terms & Conditions govern your access to and use of uirbservices.com, including UIRB Academy, online courses, certification programs, publications, downloadable materials, community features, advisory information, and other services made available by Saeed Djalilvand, doing business as UIRB Services (“UIRB”). UIRB is the public-facing brand, and UIRB Academy is its professional education and certificate-program brand.

Certain provisions of these Terms apply specifically to purchases, enrollments, payments, refunds, certifications, or other paid Services.
Information presented on the Website does not by itself constitute a contractual offer. When you submit an order or enrollment request, you are making an offer to purchase the applicable Service. A binding transaction is formed when UIRB, or an authorized platform or payment provider acting on UIRB’s behalf, confirms acceptance of that order or enrollment.

5.3 Users may not reproduce, copy, distribute, modify, publish, or otherwise reuse third-party materials except as permitted by the applicable rights holder, license terms, or applicable law.

6. Fair Use of Intellectual Property

Nothing in these Terms & Conditions is intended to limit any rights or exceptions available under applicable intellectual property law, including rights that may permit limited use of protected material for purposes such as criticism, comment, teaching, scholarship, research, or other legally recognized uses.
Any such use must comply with applicable law and must not exceed the scope of the relevant legal exception.

7. Links to Other Websites

The Website may contain links to third-party websites or services that are not owned or controlled by UIRB.
UIRB is not responsible for the content, availability, security, privacy practices, terms, or accuracy of third-party websites or services. Access to and use of any third-party website is at the User’s own discretion and subject to that third party’s terms and policies.
The inclusion of a link does not imply endorsement, sponsorship, affiliation, or approval by UIRB unless expressly stated.

8. Links to this Website

Users and third parties may link to uirbservices.com or to specific publicly available pages of the Website, provided that the link:
- does not misrepresent any relationship with UIRB;
- does not imply endorsement, sponsorship, approval, or affiliation where none exists;
- does not unlawfully reproduce or frame UIRB Content; and
- is not used in connection with misleading, unlawful, defamatory, or inappropriate material.
UIRB reserves the right to request removal of any link that it reasonably believes violates these Terms or may harm UIRB, its Users, or its reputation.
Questions regarding linking permissions may be sent to info@uirbservices.com.

9. Use of Communications Facilities

9.1 Users may use community areas, messaging features, comments, discussion boards, and other communication tools made available through the Website only for lawful, respectful, and appropriate purposes.
9.2 Users must not:
- post or transmit unlawful, abusive, threatening, harassing, defamatory, discriminatory, obscene, fraudulent, or otherwise inappropriate content;
- promote or encourage violence, illegal activity, or harmful conduct;
- impersonate another person or misrepresent their identity, affiliation, qualifications, or relationship with UIRB;
- infringe the intellectual property, privacy, confidentiality, or other rights of UIRB or any third party;
- distribute spam, unauthorized advertising, solicitations, malware, harmful code, or mass communications;
- use the communication features to disrupt courses, community activities, or other Users’ access to the Services; or
- share confidential, proprietary, or sensitive information without appropriate authorization.
9.3 UIRB may moderate, review, remove, restrict, or preserve communications or User-submitted content where reasonably necessary to enforce these Terms, maintain safety and quality, protect Users, comply with law, or administer the Services.
9.4 Users remain responsible for the content they submit through the Website. By submitting content, Users grant UIRB a limited, non-exclusive right to host, display, reproduce, and process that content only as reasonably necessary to operate, administer, and improve the Website and Services.
9.5 UIRB may suspend or terminate access to communication features or Accounts where a User materially violates these Terms or misuses the Website or Services.

10. Accounts

10.1 Certain Services require Users to create an Account. Users agree to provide accurate, complete, and current information when creating and maintaining an Account.
10.2 Each Account is intended for use by the registered User and may not be shared, transferred, sold, or used by another person without UIRB’s authorization. This is particularly important for course participation, assessments, certificates, and professional credentials.
10.3 Users are responsible for maintaining the confidentiality and security of their login credentials and for activity conducted through their Account, except where otherwise required by applicable law.
10.4 Users must promptly notify UIRB at info@uirbservices.com if they believe their Account has been accessed or used without authorization.
10.5 Users must not create Accounts using false identities, impersonate another person, or provide misleading information regarding their identity, qualifications, enrollment, or eligibility for certification.
10.6 UIRB may suspend, restrict, or terminate an Account where reasonably necessary to protect the Website or other Users, investigate suspected misuse or fraud, enforce these Terms, preserve the integrity of assessments or certifications, or comply with applicable law.
10.7 Personal Data associated with Accounts will be handled in accordance with UIRB’s Privacy Policy.

11. Termination and Cancellation of Accounts

11.1 Users may request closure of their Account by contacting UIRB at info@uirbservices.com. Closing an Account does not automatically require UIRB to delete records that must reasonably be retained for transactions, certification, assessment, legal, tax, security, or compliance purposes.
11.2 UIRB may suspend, restrict, or terminate an Account for reasons including non-payment, fraud, misuse of the Website or Services, violation of these Terms, security concerns, inappropriate community conduct, unauthorized sharing of an Account or course materials, assessment or certification integrity issues, or legal or regulatory requirements.
11.3 Where reasonably appropriate, UIRB will notify the User of a suspension or termination. UIRB may act without prior notice when immediate action is reasonably necessary to protect Users, UIRB, the Website, the integrity of assessments or certifications, or to comply with applicable law.
11.4 Suspension, closure, or termination of an Account does not automatically entitle a User to a refund. Refund eligibility will be determined under the Refund & Cancellation provisions of these Terms & Conditions and applicable law.
11.5 If UIRB permanently terminates access for reasons not caused by the User and is unable to provide a paid Service that the User has purchased, UIRB will provide an appropriate refund for the affected Service in accordance with the Refund & Cancellation provisions of these Terms.
11.6 Provisions relating to intellectual property, payment obligations, certification records, disclaimers, limitations of liability, and dispute resolution will survive Account termination where applicable.

12. Services, Pricing and Availability

12.1 UIRB will make reasonable efforts to ensure that descriptions of courses, certification programs, publications, advisory services, downloadable materials, and other Services are accurate and current. Minor changes to content, structure, instructors, learning materials, technology, or delivery methods may be made where reasonably necessary without materially reducing the overall nature or value of the Service.
12.2 Certain Services may require the User to select a specific course, certification program, package, subscription, or other available offering before purchase or enrollment.
12.3 All Services are subject to availability. UIRB may modify, suspend, postpone, or discontinue a Service where reasonably necessary, including because of operational, technical, legal, regulatory, academic, or business reasons.
12.4 Prices displayed on the Website are the prices applicable at the time they are shown, unless an obvious error has occurred. UIRB may change prices, discounts, promotional offers, or available packages at any time before a purchase is completed.
12.5 Once a valid purchase has been completed and confirmed, the price paid for that transaction will not be increased because of a later price change.
12.6 Promotional pricing, discount codes, special offers, and bundled pricing may be subject to additional eligibility requirements, expiration dates, usage limits, or other conditions stated at the time of the offer.
12.7 If UIRB identifies a clear pricing or listing error before fulfillment, UIRB may cancel the affected transaction and provide a full refund, or offer the User the opportunity to proceed at the correct price.
12.8 Access periods, course availability, completion requirements, assessment rules, certification requirements, and any other material conditions applicable to a particular Service will be stated on the applicable course, product, or enrollment page where relevant.

13. Orders and Provision of Services

13.1 When a User submits an order or enrollment request through the Website, that submission constitutes an offer to purchase the applicable Service. A binding transaction is formed when UIRB or its authorized payment or platform provider confirms acceptance of the order or enrollment.
13.2 Order or enrollment confirmation may include information such as the Service purchased, price paid, applicable taxes or fees, payment status, access instructions, and other relevant transaction details.
13.3 If UIRB does not accept an order, or if UIRB is unable to provide a purchased Service, any amount properly charged for that Service will be refunded to the original payment method, subject to applicable payment-processing timeframes.
13.4 Payment is due at the time of purchase unless the applicable Service expressly provides for another payment arrangement. Where recurring, installment, subscription, or payment-plan arrangements are offered, the applicable billing terms will be disclosed before purchase.
13.5 For online courses and digital Services, access will generally be provided promptly after successful payment and account creation, subject to technical processing, verification, security review, or any stated enrollment conditions.
13.6 UIRB will use reasonable efforts to provide Services with appropriate professional care and in accordance with the description of the applicable Service.
13.7 If a User receives incorrect access, is enrolled in the wrong Service, experiences a duplicate charge, or identifies another transaction or enrollment error, the User should contact info@uirbservices.com promptly so that UIRB can investigate and make an appropriate correction.
13.8 Certain Services may be subject to additional terms, eligibility requirements, assessment rules, access periods, certification requirements, or other conditions disclosed on the applicable course, product, or enrollment page. By purchasing or using that Service, the User agrees to those additional terms.
13.9 UIRB may provide reasonable administrative and technical support relating to Accounts, enrollment, course access, assessments, certificates, and Website functionality. UIRB does not guarantee a specific response time unless expressly stated.
13.10 Refunds and cancellations are governed by the Refund and Cancellation provisions in Section 14 of these Terms & Conditions.

14. Cancellation of Orders and Services

UIRB wants Users to have a fair opportunity to evaluate purchased courses and certification programs while also protecting the value of its digital educational content.
14.1 Seven-Day Refund Period
A User may request a 100% refund within seven (7) calendar days of purchase, provided that the User has not substantially consumed or completed the purchased course or program.
For purposes of this Section, a course or program will be considered substantially consumed if the User has:
- completed or accessed more than approximately 25% of the course content;
- attempted or submitted the final examination or final assessment;
- earned, received, or downloaded a certificate or professional credential; or
- downloaded substantial course materials, companion materials, datasets, templates, or other downloadable resources associated with the program.
14.2 Requests After Seven Days
Except where required by applicable law or otherwise stated in these Terms, purchases are non-refundable after seven (7) calendar days from the date of purchase.
A User is not entitled to a refund solely because the User:
- changes their mind;
- no longer has time to complete the course;
- decides the course is no longer needed;
- does not complete the program;
- does not pass an assessment or examination; or
- does not qualify for or earn the applicable certificate or credential.
14.3 UIRB Cancellation or Inability to Provide the Service
If UIRB cancels a paid course or program and is unable to provide a reasonable alternative, the User will receive a 100% refund of the amount paid for the affected Service.
14.4 Duplicate, Incorrect, or Unauthorized Charges
Duplicate charges, clear billing errors, or other incorrect charges will be investigated and, where confirmed, refunded or corrected as appropriate.
14.5 Refund Amount and Method
Approved refunds will ordinarily be limited to the actual amount paid by the User, including any applicable discount or promotional pricing, and will generally be returned to the original payment method.
UIRB will initiate approved refunds promptly, although the time required for the funds to appear in the User’s account may depend on the applicable bank, card issuer, or payment processor.
14.6 How to Request a Refund
Refund requests must be submitted to info@uirbservices.com and should include the User’s name, Account email address, course or program purchased, purchase date, and reason for the request.
14.7 Abuse of the Refund Policy
UIRB may deny a refund request where there is reasonable evidence of misuse, fraud, repeated refund abuse, extensive consumption or downloading of course materials, unauthorized sharing of Content, or other conduct inconsistent with these Terms.
14.8 Applicable Consumer Rights
Nothing in this Refund and Cancellation Policy limits any non-waivable cancellation, refund, or consumer-protection rights available to a User under applicable law.

18.3 Changes to these Terms will apply prospectively from the date they become effective, except where applicable law requires otherwise.
18.4 Material changes that significantly affect existing Users or paid Services may be communicated through the Website, Account notifications, or email where reasonably appropriate or required by law.
18.5 Changes to these Terms will not retroactively reduce rights already granted to a User in connection with a completed purchase unless required by applicable law.

19. Availability of the Website

19.1 UIRB will use reasonable efforts to maintain the availability, reliability, and security of the Website and Services. However, the Website and Services are provided on an “as available” basis, and uninterrupted or error-free operation cannot be guaranteed.
19.2 Access may occasionally be limited, delayed, or unavailable because of maintenance, updates, technical failures, internet or hosting disruptions, third-party platform or payment-provider issues, cybersecurity events, power outages, natural disasters, government actions, or other circumstances beyond UIRB’s reasonable control.
19.3 Temporary interruptions or routine maintenance will not ordinarily entitle a User to a refund. However, if a prolonged or material interruption prevents UIRB from providing a paid Service, UIRB will address the matter in accordance with the refund provisions in Section 14.
19.4 UIRB may temporarily suspend access to all or part of the Website where reasonably necessary for maintenance, security, legal compliance, system integrity, or service improvement.

20.1 To the maximum extent permitted by applicable law, UIRB will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, revenue, business opportunities, data, reputation, or anticipated savings arising from or related to the Website, Content, or Services.
20.2 To the maximum extent permitted by applicable law, UIRB’s total aggregate liability arising from or relating to a particular paid Service will not exceed the amount actually paid by the User to UIRB for that Service during the twelve (12) months preceding the event giving rise to the claim.
20.3 UIRB is not responsible for losses resulting from a User’s reliance on educational, informational, AI-assisted, or general professional Content without appropriate independent review, professional judgment, or transaction-specific advice.
20.4 Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for fraud, fraudulent misrepresentation, willful misconduct, or any other liability that applicable law prohibits UIRB from excluding.
20.5 Nothing in this Section limits any refund, cancellation, or consumer-protection rights expressly provided under Section 14 or applicable law.
20.6 If any limitation or exclusion in this Section is found unenforceable in a particular jurisdiction, that provision will apply only to the maximum extent permitted by law, and the remaining provisions will continue in effect.

21. No Waiver

If UIRB or a User does not exercise or enforce any right, remedy, or provision under these Terms & Conditions at any time, that failure will not constitute a waiver of that right, remedy, or provision.
Any waiver must be express and will apply only to the specific circumstance for which it is given.

22. Previous Terms and Conditions

If these Terms & Conditions conflict with any prior version, the current version will prevail from its effective date, unless otherwise expressly stated or prohibited by applicable law.
Any rights or obligations that arose under an earlier version before the current Terms became effective will remain subject to the version that applied at that time, except where applicable law requires otherwise.
